Terms of Service
Last updated: 26 October 2026
These terms are an agreement between Termbell (“Termbell”, “we”) and the school that creates a Termbell workspace (“the School”). Please read them with our Privacy Policy.
1. Agreement
By creating a workspace or using Termbell, the person signing up confirms they are authorised to act for the School and accepts these terms on its behalf. Staff, parents and pupils use Termbell through the School's workspace and must follow the acceptable-use rules below.
2. The service
Termbell is school management software delivered online: records, academics and report cards, online tests, attendance, fees, messaging, safety features, portals for parents and pupils, and the other features of the plan the School chooses. Features marked “coming soon” are not part of the service until released. We may improve and change features over time; we will not remove a core feature of a paid plan without telling the School in advance.
3. Free trial
New schools may get a free trial of the length shown when they sign up, with the features of the chosen plan and no card required. One free trial is available per school (we treat the same owner phone number as the same school). When the trial ends, the workspace pauses until the registration fee is paid; nothing is deleted at that point.
4. Fees and payment
- Prices are in Naira and shown on our website and in the School's billing page: a one-time registration fee (which includes the months stated at the time) and a monthly subscription for the chosen plan. The School may pay several months ahead.
- Payments are made through Paystack. Saved cards renew automatically on the renewal date; other payment methods are reminded before it.
- Upgrades take effect immediately and are charged for the remaining paid time; downgrades take effect at the next renewal.
- If a renewal is missed, access continues for the grace period shown in the billing page, then the workspace pauses until payment. The School's data is kept.
- We may change prices with at least 30 days' notice; changes apply from the School's next renewal.
- Fees already paid are not refundable, except where the law requires or where we charged in error.
- Monthly AI and message allowances reset each month. Extra credits the School buys do not expire while its workspace is active.
5. Collecting school fees online
If the School collects fees from parents through Termbell, payments are processed by Paystack and settled to the School's own bank account through a Paystack subaccount; Termbell does not hold school fees. The platform fee per payment is shown in the School's fee settings, and the School chooses whether parents pay it. The School is responsible for its fees, refunds to parents and any disputes or chargebacks, and must follow Paystack's terms.
6. The School's responsibilities
- Keep the information it enters accurate, and have a lawful basis — including parental consent where needed — for the personal data it records about pupils, parents and staff.
- Give accounts only to people who should have them, keep passwords private, and remove access when someone leaves.
- Send messages only to people who expect them, respect opt-outs, and record WhatsApp consent where required.
- Check AI-drafted content (remarks, summaries, questions, marks) before relying on it. Final results and decisions are the School's.
- Treat online-test integrity signals as reasons to look, not proof of cheating.
7. Acceptable use
Nobody may use Termbell to:
- try to access another school's workspace or anyone else's account, or get around security or limits;
- upload unlawful content, malware, or data they have no right to process;
- send spam or harassing messages;
- copy, resell or reverse-engineer the service, or overload it (including through the API).
We may suspend access that breaks these rules, with notice where practicable.
8. Data
The School owns the data it puts into Termbell. We process it only to provide the service, as described in the Privacy Policy, and as the School's data processor. How we protect it, and our limits of responsibility for security incidents, are set out in sections 13 to 16. The School can export its data at any time (Settings → Your data). Termbell support can enter the School's workspace only with a code the School gives, for a limited time, and every action is logged.
9. API
Plans with API access may create read-only API keys. Keys must be kept secret and used only for the School's own systems, within the published limits. The School is responsible for systems it connects and may revoke keys at any time.
10. Availability and support
We work to keep Termbell available and back it up every day, but we do not promise it will never be interrupted — for example during maintenance or outages at our providers. Registers and score sheets keep working offline and sync later. Support is available through Help & support in the workspace and by email; plans with priority support are answered first. Specific service levels apply only if agreed in writing.
11. Ending the service
The School may stop using Termbell at any time; paid time is not refunded. We may end the service to a School for serious or repeated breach of these terms, or for non-payment after the grace period. After a workspace is closed, the School has 30 days to export its data; we then delete it within 90 days, except records the law requires us to keep.
12. Our property
Termbell, its software, design and content belong to Termbell. The School gets the right to use the service for its own school during its subscription; no other rights are granted.
13. Third-party services
Termbell relies on other companies to run: Railway (hosting, database and file storage), Paystack (payments), Resend (email), Meta, Termii and Twilio (WhatsApp and SMS), the push services of Google, Apple and Mozilla, AI providers, and the School's own mobile network and internet provider. We choose these providers with care and use them under terms that require them to protect data, but we do not control them. Their services are governed by their own terms, and to the extent the law allows we are not responsible for their acts, failures, outages or security incidents, or for loss that results from them, except to the extent our own failure to take reasonable care caused or worsened it.
14. Security incidents and data breaches
We protect the School's data with the reasonable technical and organisational measures described in our Privacy Policy. No online system can be made completely secure, and we do not promise that unauthorised access will never happen. To the extent the law allows, we are not liable for unauthorised access to, or loss, change or disclosure of, data that results from:
- a security incident at one of our third-party providers (section 13);
- the School's own users or devices — for example shared, weak or stolen passwords, lost or unlocked phones, support access codes the School gives out, or accounts that were not removed when someone left;
- data after it leaves Termbell on the School's instructions — exports, downloads, printed reports, messages sent to parents, or systems the School connects through the API;
- an attack or event we could not reasonably have prevented while taking the security measures described in our Privacy Policy.
If an incident affects the School's data, we will tell the School without undue delay, help it understand what happened, take reasonable steps to limit the harm, and support it in meeting its own duties to notify the Nigeria Data Protection Commission and the people affected.
15. Events outside our control
We are not responsible for delay or failure caused by events outside our reasonable control, such as power or internet outages, failures of our providers or of telecommunications networks, large-scale cyber-attacks, strikes, civil unrest, government action, fire, flood or other natural events. We will do what we reasonably can to restore the service quickly.
16. Limitation of liability
Termbell is provided “as is” and “as available”. To the extent the law allows:
- we are not liable for indirect or consequential loss, including lost profits, lost fees, lost opportunities, harm to reputation, or loss of data the School could have exported;
- our total liability for all claims together, including claims about data and security, is limited to the fees the School paid us in the 12 months before the event that led to the claim.
Nothing in these terms limits liability that cannot be limited by law, including liability for fraud or for our own wilful misconduct, or our duties under the Nigeria Data Protection Act 2023 that cannot be excluded by contract.
17. The School's indemnity
The School will cover our reasonable losses and costs (including legal fees) from claims brought against us by parents, staff, pupils, regulators or anyone else that arise from: personal data the School recorded or shared without a lawful basis or the consent it needed; messages the School sent; the School's collection of school fees; or the School's breach of these terms. We will tell the School promptly about any such claim and let it take part in responding.
18. Law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. We will first try to settle any dispute by talking. If that fails within 30 days, the dispute will be resolved by arbitration in Lagos under the Arbitration and Mediation Act 2023.
19. Changes and contact
We may update these terms; we will tell Schools about important changes at least 30 days before they apply. Continuing to use Termbell after that means accepting them.
